Acceptance of the Terms of Use
These Website Terms of Use (these “Terms”) govern your access to and use of www.paxgy.com and its subdomains (collectively, the “Site”), operated by Paxos Protocol Inc., a Panama corporation (the “Company,” “we,” or “us”). By accessing or using the Site, or by acquiring, holding, or owning PAXGy, you agree to these Terms. If you do not agree, do not access or use the Site.
1. Informational Purposes Only; No Offer
The Site is provided for general informational purposes only. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, PAXGy or any other digital asset, and nothing on the Site is investment, financial, legal, or tax advice. PAXGy may be minted and redeemed only by institutional counterparties that have completed onboarding procedures established by us, through a separate interface, and is governed solely by the separate PAXGy Terms of Use available on this website.
2. Changes to the Terms of Use
We may revise these Terms at any time in our discretion. Changes are effective when posted, and your continued use of the Site after they are posted means you accept them.
3. Access to the Site
The Site is not directed to, and may not be accessed by, any person in any jurisdiction where accessing the Site or its contents is unlawful. You are responsible for compliance with the laws applicable to you.
4. Intellectual Propery; Trademarks
The Site and its contents are owned by the Company or its licensors and are protected by applicable law. We grant you a limited, revocable, non-exclusive, and non-transferable license to access and view the Site for your own informational, non-commercial use. Names, marks, and logos may not be used without our prior written permission.
5. Prohibited Uses
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Site in violation of applicable law; (b) interfere with or disrupt the Site or its infrastructure; (c) attempt to gain unauthorized access to the Site or any related systems; or (d) use any robot, scraper, or similar means to access or copy the Site except as we permit.

The information on the Site is provided for general information only and may change without notice. We do not warrant the accuracy, completeness, or timeliness of any information on the Site, and any reliance you place on it is at your own risk.

Nothing on the Site constitutes investment, financial, legal, accounting, or tax advice, and no advisory or fiduciary relationship is created by your use of the Site. You are solely responsible for your own decisions.

Digital assets, blockchains, and smart contracts involve significant risk, including total loss. Risks specific to PAXGy are addressed in the PAXGy Terms of Use.
9. Taxes
You are solely responsible for determining and paying any taxes applicable to you.
10. Changes to the Site
We may modify, suspend, or discontinue the Site or any part of it at any time and without notice.
11. Information About You
Our collection and use of information through the Site is described in our privacy policy (the “Privacy Policy”).
12. Third-Party Links
The Site may contain links to third-party sites or resources. We are not responsible for, and do not endorse, any third-party sites, resources, or content, and you access them at your own risk.
13. Disclaimer of Warranties
THE SITE AND ITS CONTENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT, AND ANY WARRANTY AS TO ACCURACY, AVAILABILITY, SECURITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY AND ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
15. Indemnification
You will indemnify and hold harmless the Company and its affiliates from any claim, loss, or expense arising out of your use of the Site or your breach of these Terms.
16. Governing Law; Arbitration
These Terms are governed by the laws of the Republic of Panama. Any dispute arising out of or relating to these Terms or the Site will be finally resolved by arbitration administered by the Centro de Conciliación y Arbitraje de Panamá (CeCAP) under its rules, seated in Panama City, Panama, before one arbitrator, conducted in English. The parties agree to arbitrate solely on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction.
17. Limitation on Time to File Claims
Any claim arising out of or relating to these Terms or the Site must be commenced within one year after the cause of action accrues.
18. Waiver and Severability
No waiver is effective unless in writing, and no failure to enforce a provision is a waiver of it. If any provision is held unenforceable, the remainder of these Terms continues in effect.
19. Entire Agreement
These Terms and the Privacy Policy are the entire agreement between you and the Company regarding the Site. PAXGy is governed by the separate PAXGy Terms of Use; in the event of any conflict between these Terms and the PAXGy Terms of Use with respect to PAXGy, the PAXGy Terms of Use control.
